These Terms of Service (“Terms”) govern your access to and use of the We All Eat platform, including our website at wealleat.com and any related services (collectively, the “Service”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
01 — About We All Eat
We All Eat is a two-sided marketplace platform that connects restaurants with local content creators (“Creators” or “Influencers”) for campaign-based collaborations. Restaurants post campaigns offering free meals, monetary compensation, or both. Creators apply, get selected, visit the restaurant, create short-form video content, and submit it for restaurant approval.
We All Eat, Inc. (“We All Eat,” “we,” “us,” or “our”) operates the Service. These Terms apply to all users of the platform, including restaurants, creators, and any visitors.
By registering an account, you represent that you have read and agree to these Terms and our Privacy Policy, which is incorporated by reference.
02 — Eligibility
To use We All Eat, you must:
If you are registering as a restaurant or on behalf of a business, you represent that you have the authority to bind that business to these Terms. The business and the individual registering are jointly responsible for compliance.
We reserve the right to verify eligibility and to refuse or terminate accounts that do not meet these requirements.
03 — Account Registration and Responsibilities
Accuracy
You agree to provide accurate, current, and complete information when creating your account and to keep that information up to date. We All Eat is not responsible for any issues arising from inaccurate information you provide.
Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@wealleat.com if you suspect unauthorized access.
One Account Per Person
Each individual or business may maintain only one active account. Creating duplicate accounts to circumvent suspensions, bans, or platform limits is prohibited.
Account Types
When you register, you will select one of two account types: Restaurant or Creator. Your account type determines which features are available to you. Misrepresenting your account type (for example, registering as a creator to access campaigns you intend to fulfill as a restaurant) is a violation of these Terms.
04 — Restaurant Terms
This section applies specifically to users registered as restaurants.
Campaign Accuracy
All campaigns you post must accurately describe what you are offering. This includes the compensation (free meal value, cash amount, or both), the expected deliverables, the visit dates, the number of creators you intend to select, and any specific content requirements. Misleading campaigns are prohibited and may result in account suspension.
Obligation to Honor Campaigns
Once you accept a creator's application, you are committing to honor the terms of that campaign. This means you must:
Cancelling accepted creators without reasonable cause, refusing entry, or materially changing campaign terms after acceptance is a violation of these Terms.
Creator Selection
You may review all applicants and select creators at your discretion. We All Eat does not guarantee a minimum number of applicants. Selection decisions must not be based on protected characteristics including race, ethnicity, gender, religion, national origin, disability, or sexual orientation.
Deliverable Review
Once a creator submits a post link, you must review and respond (approve or request revision) within 14 days. Failure to respond within 14 days will be treated as automatic approval.

This section applies specifically to users registered as creators or influencers.
Profile Accuracy
You must accurately represent your social media presence. This includes your handles, follower count, content niche, and location. Inflating follower counts, using follower-purchasing services, or misrepresenting your audience demographics is a violation of these Terms and grounds for immediate account termination.
Obligation to Deliver
When a restaurant accepts your application, you are committing to fulfill the campaign. This means you must:
Accepting a campaign and then failing to visit or post without advance notice and good cause is a violation of these Terms. Repeated failures to deliver will result in account suspension.
Content Ownership
You retain ownership of the content you create. However, by submitting content through We All Eat, you grant the relevant restaurant a non-exclusive, royalty-free license to repost, share, and use that content for their own marketing purposes unless you have separately agreed otherwise with the restaurant in writing.
FTC Disclosure Compliance
When posting content created through a We All Eat campaign, you are required by law to clearly disclose that you received compensation (including free meals) in exchange for the content. Acceptable disclosures include “#ad,” “#sponsored,” “#gifted,” or equivalent language that is clearly visible in the post. We All Eat does not assume liability for your disclosure obligations, but failure to disclose may result in removal from the platform.
Application Limits
Creators may submit up to 10 campaign applications per rolling 7-day period. This limit exists to protect the quality of applications received by restaurants. Circumventing this limit through multiple accounts is prohibited.
Social Media Connection
Connecting your Instagram or TikTok account is optional but may be required by some campaigns. By connecting your account, you authorize We All Eat to read your public profile data and follower count. You may disconnect at any time from your profile settings. We do not post on your behalf.
06 — Prohibited Conduct
The following are prohibited for all users of the platform:
Off-Platform Circumvention
If you discover a restaurant or creator through We All Eat, you may not arrange a campaign, collaboration, or compensation arrangement outside of the platform in order to avoid platform fees or processes. This applies for 12 months from the time of first contact through We All Eat. Circumvention is a material breach of these Terms and may result in legal action and account termination.
Fraud and Misrepresentation
You may not impersonate any person or entity, misrepresent your identity or affiliation, create fake reviews or testimonials, or use the platform to conduct fraudulent transactions of any kind.
Harassment and Abuse
You may not use the platform to harass, threaten, intimidate, or demean other users. Any communication through We All Eat must remain professional and respectful.
Automated Access
You may not use bots, scrapers, crawlers, or automated scripts to access or extract data from the platform without our express written permission.
Spam and Unsolicited Contact
You may not use We All Eat to send unsolicited commercial messages, bulk outreach, or spam to other users.
Illegal Activity
You may not use the Service for any unlawful purpose, including violating any applicable local, state, national, or international law or regulation.
07 — Content Standards and Intellectual Property
Your Content
You are solely responsible for any content you upload, post, or submit through the platform, including profile photos, campaign images, application messages, and deliverable links. You represent that you have all necessary rights to submit this content and that it does not violate any third party's intellectual property, privacy, or other rights.
License to We All Eat
By uploading content to We All Eat (including profile images and campaign media), you grant us a non-exclusive, worldwide, royalty-free license to store, display, and use that content solely for the purpose of operating and promoting the Service. We will not sell or license your content to unrelated third parties.
Prohibited Content
You may not submit content that is unlawful, defamatory, harassing, obscene, fraudulent, or that infringes any third party's intellectual property rights.
We All Eat Intellectual Property
All intellectual property in the We All Eat platform — including our name, logo, design, software, and written content — is owned by We All Eat, Inc. You may not reproduce, modify, distribute, or create derivative works from our intellectual property without written permission.
DMCA
If you believe that content on our platform infringes your copyright, please send a notice to legal@wealleat.com with: a description of the copyrighted work, the URL of the allegedly infringing content, your contact information, and a statement that the complaint is accurate and made in good faith.
08 — Payments and Fees
Current Beta Period
During our current launch period, campaigns on We All Eat may be offered free of charge or at reduced fees at our discretion. Any promotional pricing is subject to change with notice.
Future Fee Structure
We All Eat intends to introduce campaign posting fees and transaction fees for paid influencer campaigns. We will provide advance notice before any fee changes take effect. Continued use of the platform after fee changes constitutes acceptance of the new pricing.
Stripe Connect
When paid transactions are enabled, payments will be processed through Stripe Connect, a third-party payment processor. By participating in paid campaigns, you agree to Stripe's Terms of Service and Connected Account Agreement. We All Eat is not responsible for Stripe's actions or omissions.
Taxes
You are solely responsible for determining and paying any applicable taxes on compensation you receive or pay through the platform. We All Eat does not provide tax advice. Creators who receive monetary compensation are responsible for reporting that income as required by applicable law.
No Guaranteed Results
Payment of any campaign fee does not guarantee a minimum number of applicants, a minimum follower reach, or any specific business outcome. We All Eat makes no warranties about the performance of any campaign.
09 — Disclaimers and Limitation of Liability
Service Provided “As Is”
The We All Eat platform is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or harmful components.
No Endorsement
We All Eat does not endorse, verify, or guarantee the quality, safety, legality, or accuracy of any campaign, restaurant, or creator profile on the platform. You interact with other users at your own risk. We strongly recommend exercising your own judgment before accepting or fulfilling any campaign.
Limitation of Liability
To the fullest extent permitted by applicable law, We All Eat, its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost revenue, loss of data, or personal injury — arising from your use of the Service, even if we have been advised of the possibility of such damages.
Our total liability to you for any claim arising from these Terms or the Service will not exceed the greater of (a) the total fees you paid to We All Eat in the 12 months preceding the claim, or (b) one hundred U.S. dollars ($100).
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability, so some of the above may not apply to you.
10 — Indemnification
You agree to indemnify, defend, and hold harmless We All Eat, Inc. and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses — including reasonable attorneys' fees — arising out of or in any way connected with:

By You
You may terminate your account at any time by contacting us at support@wealleat.com. Upon termination, your right to use the Service ceases immediately.
By We All Eat
We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to: violation of these Terms, conduct that harms other users or the platform, fraud, extended inactivity, or if we determine it is necessary to protect the integrity of the Service.
Effect of Termination
Upon termination, all licenses granted to you under these Terms will immediately terminate. Sections of these Terms that by their nature should survive termination — including intellectual property, indemnification, disclaimers, limitation of liability, and dispute resolution — will survive.
Outstanding campaign obligations (accepted applications not yet fulfilled) do not automatically void upon account termination. Users are still responsible for fulfilling any commitments made prior to termination.
12 — Dispute Resolution
Informal Resolution First
Before filing any formal legal action, you agree to contact us at legal@wealleat.com and attempt to resolve the dispute informally for at least 30 days. Many issues can be resolved quickly through direct communication.
Platform Disputes Between Users
If a dispute arises between a restaurant and a creator regarding a campaign (for example, a creator claiming they were not provided the promised meal, or a restaurant claiming a creator did not deliver), you may contact us at support@wealleat.com to request informal mediation. We All Eat may choose, at our discretion, to assist in resolving the dispute, but we are not obligated to do so and our involvement does not create any liability on our part.
Governing Law
These Terms are governed by the laws of the State of [Your State], United States, without regard to its conflict of law principles.
Jurisdiction
Any legal action arising from these Terms that is not resolved informally will be brought exclusively in the state or federal courts located in [Your State], and you consent to the personal jurisdiction of those courts.
13 — Changes to These Terms
We may update these Terms from time to time to reflect changes in our platform, our business, or applicable law. When we do, we will update the “Last updated” date at the top of this page.
For material changes, we will notify you by email or by displaying a prominent notice on the platform at least 14 days before the changes take effect. Your continued use of the Service after the effective date of updated Terms constitutes your acceptance.
If you do not agree to updated Terms, you must stop using the Service. You may request account deletion by contacting support@wealleat.com.
